Your use of the Semsto website, applications, business solution, capabilities, services, and related tools is governed by these Terms and Conditions together with any applicable policies incorporated by reference.

By accessing or using Semsto, you enter into an agreement with Aarvi Technology subject to these Terms and any applicable commercial agreement between Aarvi Technology and your organization.

Certain services, capabilities, integrations, or features may be subject to additional terms, policies, or usage guidelines.

Aarvi Technology may update these Terms from time to time. Continued use of Semsto after updated Terms are published will constitute acceptance of those revisions to the extent permitted by applicable law.

Subject to compliance with these Terms and the applicable commercial agreement, Aarvi Technology grants authorized users a limited, non-exclusive, non-transferable right to access and use Semsto for permitted business purposes.

Your Account and Access Obligations

Where access credentials are provided for Semsto, users are responsible for maintaining the confidentiality and security of usernames, passwords, and other authentication information.

Users are responsible for activities performed through accounts assigned to them or their organization, except where such activity results from a security incident attributable to Aarvi Technology.

Customers agree to provide accurate, current, and complete information where required for implementation, configuration, support, or use of Semsto.

Aarvi Technology may suspend or restrict access where unauthorized use is detected, security is at risk, these Terms are materially violated, or suspension is permitted under the applicable commercial agreement.

Communications

By using Semsto or communicating with Aarvi Technology electronically, users consent to receive communications related to enquiries, implementation, accounts, support, security, billing, training, and other relevant service matters.

Communications may be sent through email, telephone, messaging platforms, or other agreed communication channels.

Marketing communications will be handled in accordance with applicable laws and the Privacy Policy.

Acceptable Use of Semsto

Users must use the Semsto website, applications, and business solution responsibly, lawfully, and only for authorized purposes.

You must not use Semsto to:

Additional Terms for the Semsto Desktop Application

The Semsto desktop application is a component of the Semsto business solution provided by Aarvi Technology.

Acceptance of Terms

By installing or using the Semsto desktop application, users agree to these Terms, the Privacy Policy, and any applicable agreement between their organization and Aarvi Technology.

Authorized Use

The desktop application may only be used for authorized business purposes and according to the configuration, permissions, and policies established by the subscribing organization.

Data Collection and Privacy

Depending on the functionality enabled by the organization, the desktop application may collect work-related information such as:

• Time records
• Application activity
• Employee activity information
• Screenshots
• Other information required for enabled operational features

Organizations enabling employee-monitoring functionality are responsible for ensuring that such use complies with applicable employment, privacy, and data-protection laws.

Organizations are also responsible for providing required notices and obtaining any required permissions or consent from employees or users.

Aarvi Technology processes applicable information in accordance with the Privacy Policy and relevant agreements.

Prohibited Use

Users must not:

• Violate applicable laws
• Circumvent application security
• Introduce malware or harmful code
• Access another user's data without authorization
• Interfere with the proper operation of the application

Intellectual Property

All intellectual property rights relating to the Semsto desktop application, including software, design, documentation, trademarks, and related materials, are owned by Aarvi Technology and/or its licensors unless otherwise expressly stated.

The Semsto website, applications, software, designs, interfaces, documentation, trademarks, logos, and related materials are owned by or licensed to Aarvi Technology unless otherwise expressly stated.

Semsto is a business solution developed and offered by Aarvi Technology.

Customers and users may access and use Semsto only within the scope permitted under the applicable agreement and these Terms.

No ownership rights in Semsto or Aarvi Technology intellectual property are transferred to customers or users through access to or use of the solution.

Except where expressly permitted, users must not copy, reproduce, modify, distribute, reverse engineer, republish, or commercially exploit Semsto or its associated materials without prior written authorization.

Solution Information

Aarvi Technology makes reasonable efforts to ensure that information describing Semsto capabilities, services, integrations, and related offerings is accurate and current.

However, available capabilities, configurations, integrations, implementation approaches, and service scope may vary according to customer requirements and the applicable commercial agreement.

Information provided on the website is for general informational purposes.

The specific proposal, order form, statement of work, or service agreement accepted by the customer will define the actual solution scope.

Fees, Payments and Commercial Terms

Fees applicable to Semsto will be defined in the quotation, proposal, order form, statement of work, or other commercial agreement accepted by the customer.

Customers are responsible for making payments according to the payment schedule and terms specified in the applicable commercial agreement.

Applicable taxes, duties, or governmental charges will be payable as required by law unless expressly stated otherwise.

Cancellation, refund, and termination rights will be governed by the applicable commercial agreement and Aarvi Technology's applicable Refund and Cancellation Policy.

Failure to make payments when due may result in restriction or suspension of services subject to applicable contractual terms and law.

Disclaimer of Warranties

Except where expressly stated in an applicable agreement, the Semsto website, applications, and related information are provided on an “as is” and “as available” basis.

Aarvi Technology does not warrant that website access will always be uninterrupted, error-free, or free from all harmful components.

Nothing provided on the website should be interpreted as professional legal, financial, tax, or other regulated advice unless expressly provided under a separate professional engagement.

Specific service commitments, availability obligations, or warranties agreed with a customer will be governed by the applicable commercial agreement.

Limitation of Liability

To the maximum extent permitted by applicable law and subject to the applicable commercial agreement, Aarvi Technology shall not be liable for indirect, incidental, special, punitive, or consequential losses arising from or relating to the use of Semsto.

Any applicable liability limits, exclusions, service commitments, or remedies agreed with a customer will be governed by the applicable commercial agreement.

Indemnity

Users and customers agree, where permitted by applicable law and the applicable commercial agreement, to indemnify and hold harmless Aarvi Technology, its affiliates, directors, officers, employees, agents, licensors, and service providers from claims arising from:

• Material breach of these Terms
• Violation of applicable law
• Unauthorized use of Semsto
• Infringement of third-party rights
• Content or data submitted in violation of applicable rights or laws

Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India.

Subject to any dispute-resolution procedure separately agreed between Aarvi Technology and the customer, courts located in Surat, Gujarat, India shall have jurisdiction over disputes arising from these Terms.
